These Terms of Service ("Terms") form a binding agreement between you and SIA "MICRON", a limited liability company (sabiedrība ar ierobežotu atbildību) registered in the Republic of Latvia under registration number 42103081578 (registered on 7 November 2017), VAT number LV42103081578, with its registered office at Aldaru iela 36/38 – 21, Liepāja, LV-3401, Latvia, which operates the Translatize translation-management service ("Translatize", "we", "us", or "our"). These Terms govern your access to and use of Translatize, including its website, web application, API, and related features (collectively, the "Service"). By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
"Customer" means the account owner or organization that registers for the Service. "Authorized User" means any person granted access to a Customer's workspace or project. "Content" means the translation keys, values, branches, files, imports, exports, and related data that you upload, generate, or create through the Service. "Machine Translation" means any automated, machine, or AI-generated translation suggestion or output provided through the Service. "Integrations" means API tokens, the command-line interface (CLI), software development kits (SDKs), continuous-integration (CI) templates, the MCP server, the Translatize GitHub App, and any other tool through which software performs actions in the Service on your behalf. Client tools that we publish under an open-source license are also subject to that license, including its disclaimer of warranties. "Service" means the Translatize web application, API, over-the-air (OTA) delivery, Integrations, and all associated features and functionality.
You must provide accurate, current, and complete registration information and keep your account credentials confidential. You are solely responsible for all activity that occurs under your account and for the acts and omissions of your Authorized Users, who must comply with these Terms. You must notify us promptly at support@translatize.com of any actual or suspected unauthorized access to or use of your account.
Translatize offers Free, Starter, Professional, and Agency plans at the prices and with the features and limits shown on the subscription page. Paid plans are billed in advance through our third-party payment processor and renew automatically for successive periods until cancelled. By subscribing, you authorize recurring charges to your selected payment method, and plan changes, upgrades, and downgrades take effect through the billing provider. Professional and Agency subscriptions may add extra team-member seats at the per-seat price and up to the maximum shown on the subscription page. Extra seats renew and are billed together with the plan. Seats you add are charged immediately, pro rata for the remainder of the current billing period; seats you remove are released immediately and the unused portion is credited pro rata against your next invoice. Extra seats belong to the plan subscription they were purchased for and end when that subscription is changed to another plan or cancelled; when you change to a plan that offers extra seats, the seats your team already occupies beyond what the new plan includes are added to the new subscription. You may not reduce your seats below the number of team members and pending invitations that occupy them. Starter, Professional, and Agency subscriptions may also add over-the-air (OTA) delivery, which serves your published translations to your applications through our content delivery network. OTA delivery is sold in blocks of 1,000,000 delivery requests per calendar month (UTC), at the per-block price and up to the maximum shown on the subscription page – currently USD 5 per block per month on Starter (up to 10 blocks), USD 4 on Professional (up to 50 blocks), and USD 3 on Agency (up to 200 blocks). OTA delivery is not available on the Free plan. Blocks renew and are billed together with the plan. Blocks you add are charged immediately, pro rata for the remainder of the current billing period. Blocks you remove are not credited or refunded: the volume they include remains available until the end of the current billing period, and from the next billing period you are billed for the reduced number of blocks. Blocks belong to the plan subscription they were purchased for and end when that subscription is changed to another plan or cancelled; when you change to another plan that offers OTA delivery, your blocks are carried over to the new subscription at that plan's block price, up to its maximum. You may not reduce your blocks below the number needed for the requests already served in the current calendar month, counting blocks granted by us, and a plan change that would require this is not possible until the next calendar month. You may cancel at any time, and access to paid features continues until the end of the then-current paid period; except where required by law and except for the seat credits described above, fees are non-refundable and we do not provide credits or refunds for partial periods or unused features. If you are a consumer resident in the European Union or European Economic Area, you have a statutory right to withdraw from a purchase within fourteen (14) days without giving any reason; however, by purchasing a subscription you expressly request that we begin providing the digital Service immediately and acknowledge that you thereby lose your right of withdrawal once performance of the digital service has begun. Your mandatory statutory rights as a consumer remain unaffected.
Each plan includes usage limits, which may include the number of source translation keys, projects, workspaces, branches per project, team members, AI translation and AI review characters, screenshot storage, the audit-log retention period, OTA delivery requests, and API usage. We may enforce these limits by restricting or disabling actions that would exceed them, and we may meter, throttle, or rate-limit usage to protect the Service. Limits are described on the subscription page and may be adjusted from time to time. On plans that offer them, purchased extra seats raise the team-member limit for as long as they are paid for (see Section 4). For OTA delivery, each request for a distribution's manifest or translation files that our delivery network serves counts as one delivery request, including requests answered from cache; refused requests do not count. Requests are counted per calendar month (UTC) across all distributions of the projects billed to your account, as measured by our delivery network, which may use statistical sampling, and the count is updated about once an hour. We will notify you by email when usage reaches 80 % and 100 % of the volume your blocks include, whether purchased or granted by us, and again if delivery is paused. We continue to serve requests up to 120 % of that volume at no extra charge; once our hourly count shows more than that, further requests are refused (HTTP status 429) until you add blocks or the next calendar month begins, and applications using our SDK fall back to the translations they have cached or bundled. A distribution serves requests only while your account holds at least one block, whether purchased or granted by us; you can create distributions and publish releases at any time. Where a plan describes a resource (such as projects, workspaces, source keys, or branches) as “unlimited”, that allowance is subject to fair use: your usage must reflect the ordinary localization work of you and your Authorized Users and must not place a disproportionate load on the Service compared with typical customers on the same plan. If we reasonably determine that usage exceeds fair use, we may contact you to agree on a suitable plan or arrangement, and we may apply reasonable limits to protect the Service.
You agree not to misuse the Service, including by uploading unlawful, infringing, harmful, or malicious content; attempting to gain unauthorized access to the Service or its systems; probing, scanning, reverse engineering, decompiling, or disassembling the Service; interfering with or overloading our infrastructure; circumventing usage limits or security measures; or exceeding documented API rate limits. You also agree not to sell, resell, rent, lease, sublicense, or white-label the Service or access to it, or otherwise offer the Service’s functionality to third parties as part of your own product or service (for example, as a translation-management or localization platform), without our prior written agreement. This does not restrict delivering your Content to your own or your clients’ applications and their end users (for example via export, the API, the CLI, SDKs, webhooks, or OTA delivery), using the Service to provide localization or development services to your clients, or inviting your own employees, contractors, and clients as Authorized Users to collaborate on your projects. We may investigate suspected violations and may suspend or terminate accounts that violate this section, without liability to you.
As between you and Translatize, you retain all rights, title, and interest in and to your Content, including translation keys, values, and branches. You grant Translatize a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, display, and create derivative works of your Content solely as necessary to provide, maintain, secure, and improve the Service and to support Machine Translation and import/export features. You represent and warrant that you own or have all rights and permissions necessary to upload and use your Content and that your Content does not infringe or violate any third-party rights or applicable law.
The Service, including all software, source code, designs, user interfaces, documentation, trademarks, and branding, is and remains the exclusive property of Translatize and its licensors and is protected by intellectual property laws. Except for the limited right to access and use the Service in accordance with these Terms, no rights or licenses are granted to you, whether by implication, estoppel, or otherwise. You may not use Translatize's name, logos, or trademarks without our prior written consent.
Each party may receive confidential information of the other party in connection with the Service. The receiving party agrees to protect such confidential information using at least reasonable care, to use it only as necessary to provide or use the Service, and not to disclose it to third parties except as required by law or to personnel and service providers bound by confidentiality obligations. This section does not apply to information that is or becomes public through no fault of the receiving party, was already known, or is independently developed.
THE SERVICE, INCLUDING ALL CONTENT, MACHINE TRANSLATION OUTPUT, AI REVIEW FINDINGS, QUALITY CHECKS, THE MERGE GATE, INTEGRATIONS, OTA DELIVERY, BETA FEATURES, AND IMPORT/EXPORT FUNCTIONALITY, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRANSLATIZE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES OF ACCURACY, RELIABILITY, OR COMPLETENESS. WE DO NOT WARRANT THAT MACHINE OR AI TRANSLATIONS ARE ACCURATE, COMPLETE, OR FIT FOR ANY USE, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, TIMELY, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRANSLATIZE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, TRANSLATIONS, CONTENT, GOODWILL, BUSINESS, OR BUSINESS INTERRUPTION, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, UNDER ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL TRANSLATIZE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS EXCEED THE GREATER OF (A) THE TOTAL FEES YOU ACTUALLY PAID TO TRANSLATIZE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100). THESE LIMITATIONS APPLY TO EVERY PART OF THE SERVICE, INCLUDING THE FEATURES DESCRIBED IN SECTIONS 14 TO 18, AND EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. NOTHING IN THESE TERMS (INCLUDING SECTIONS 10 TO 12 AND 14 TO 18) EXCLUDES OR LIMITS ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR DAMAGE CAUSED INTENTIONALLY OR THROUGH GROSS NEGLIGENCE, FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, OR FOR FRAUD, OR AFFECTS THE MANDATORY RIGHTS OF CONSUMERS UNDER APPLICABLE LAW.
You use the Service entirely at your own risk. To the maximum extent permitted by law, Translatize is not responsible for any loss or damage of any kind, including lost, corrupted, or deleted data, lost translations, or business losses, arising out of or relating to your use of or inability to use the Service, any errors, inaccuracies, or omissions in Content or Machine Translation output, any unauthorized access to or alteration of your data, any actions performed through your API tokens or Integrations, or any acts, omissions, or content of third parties. You assume all risks associated with relying on Machine Translation and on the availability, accuracy, and integrity of the Service and your Content.
You are responsible for maintaining your own independent backups of your Content and must not rely on the Service as your sole repository or backup of any data. You are responsible for reviewing, verifying, editing, and testing all translations, including Machine Translation output, for accuracy, suitability, and compliance before using them in any production, public-facing, or business-critical context. Translatize bears no responsibility for any consequences arising from translations or Content that you deploy without such verification and testing. Sections 14 to 18 set out further responsibilities for Integrations, over-the-air delivery, AI and quality features, screenshots, and Beta Features.
The Service lets you connect tools that act on your behalf, including API tokens, the CLI, CI templates, the MCP server used by AI coding agents, and the Translatize GitHub App. Actions performed through these Integrations – such as creating, merging, and deleting translation branches, writing, importing, and translating Content, publishing OTA releases, committing translation files to your repositories and pull requests, and merging a pull request's translation branch when the pull request is merged – are performed on your instruction and under your authorization, and are treated as your own actions under these Terms, whether they are triggered by you, your Authorized Users, your pipelines, an AI agent you configure, or anyone using one of your API tokens. You decide which Integrations to connect and which permissions, roles, branches, and repositories to grant them, and you are responsible for keeping API tokens secret, granting each Integration only the access it needs, revoking tokens that are no longer needed or may be compromised, reviewing changes made through Integrations before you rely on, release, or merge them, and protecting your repositories with your own measures, such as branch protection, required reviews, and backups. AI agents can act in unexpected ways, and you are responsible for the instructions and permissions you give them. A code-hosting service you connect is a third-party service under Section 21. To the maximum extent permitted by law, Translatize is not liable for changes made to your repositories, Content, or other data through Integrations, or for any loss arising from them.
Files you publish for OTA delivery are public by design: anyone who knows a distribution's address can download them, and you are responsible for not publishing secrets, credentials, or personal data in them. OTA delivery depends on third-party networks and on conditions outside our control: delivery of published files may be delayed, interrupted, or unavailable, and files may be cached by the delivery network, by end users' devices, or by intermediaries, so a previous version may still be shown after you publish a new version, roll back to an older one, or delete files. Delivery is also paused automatically in the cases described in Sections 4 and 5: while your account holds no block, and once usage exceeds the limit set out in Section 5 (until you add blocks or the next calendar month begins). Your applications must therefore include fallback translations, such as translations bundled with the application, and must keep working when OTA delivery is unavailable. You are responsible for what you publish and for testing a release before you publish it. To the maximum extent permitted by law, Translatize is not liable for what the end users of your applications see, for outages, delays, or caching of OTA delivery, or for any loss arising from paused or interrupted delivery.
Machine Translation, AI review, automated quality (QA) checks, translation-memory matches, and the merge gate are advisory aids. They may miss errors, flag correct text, or produce incorrect results; AI review findings never block a merge on their own; and passing a check or the merge gate is no guarantee that a translation is accurate, complete, or suitable. Your project administrators decide whether the merge gate is off, only warns, or blocks merges, and an administrator or owner may override a block. You remain responsible for your translations and for reviewing them before use (Section 13). To the maximum extent permitted by law, Translatize is not liable for errors that these features miss or introduce, or for merges that they allow, warn about, or block.
You are responsible for the screenshots that you, your Authorized Users, or your pipelines upload, and for having a lawful basis for any personal data they contain. Take screenshots from a staging or test environment that uses test data wherever possible, mask personal data and confidential information that translators do not need to see, and do not upload screenshots that contain special-category or other sensitive data (Section 6 of our Privacy Policy). Screenshots are deleted according to the retention periods in Section 11 of our Privacy Policy, so keep your own copies of any screenshot you need. To the maximum extent permitted by law, Translatize is not liable for the content of screenshots you upload or for their deletion in line with those retention periods.
We may make features available to selected accounts before their general release, or label features as beta, preview, or early access ("Beta Features"). Beta Features are provided "as is" and "as available", may be incomplete or contain errors, and may be changed, suspended, or withdrawn, or turned on or off for your account, at any time and without notice. Beta Features are excluded from any commitment we make about the Service, including any specification, availability, or support commitment, and data or settings specific to a Beta Feature may be lost when it changes or is withdrawn. To the maximum extent permitted by law, Translatize is not liable for any loss arising from your use of a Beta Feature or from its change or withdrawal.
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Translatize and its affiliates, officers, directors, employees, and agents from and against any and all claims, demands, actions, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or related to your Content (including files you publish for OTA delivery and screenshots you upload), your use of the Service (including actions performed through your API tokens and Integrations), your violation of these Terms, your violation of any applicable law, or your infringement or misappropriation of any third-party right. Translatize reserves the right to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense of such claim.
The Service is provided without any uptime, availability, or performance guarantee and without any service-level commitment. We reserve the right, at any time and without prior notice or liability, to modify, update, suspend, limit, or discontinue the Service or any part, feature, or functionality of it, and to perform maintenance that may result in interruptions. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.
The Service relies on and integrates with third-party services, including our payment processor, our storage and content-delivery provider, hosting, database, and other infrastructure providers, email-delivery providers, AI and machine-translation providers, and code-hosting services such as GitHub that you choose to connect. We keep a current list of our sub-processors and their locations and provide it to Customers on request at privacy@translatize.com; Customers are notified of changes to it as described in Section 15 of our Privacy Policy. These third-party services are governed by their own terms and policies and are not under Translatize's control, and to the maximum extent permitted by law Translatize is not responsible or liable for their availability, performance, acts, omissions, security, or content. Your use of such third-party services is at your own risk and may be subject to additional terms imposed by those providers.
Translatize will not be liable or deemed in breach for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, fire, flood, war, terrorism, civil unrest, governmental action, labor disputes, epidemics or pandemics, power or internet failures, cyberattacks, or failures or disruptions of third-party services, suppliers, or infrastructure.
These Terms apply for as long as you access or use the Service. We may suspend or terminate your access immediately, with or without notice, for breach of these Terms, suspected fraud or security risk, non-payment, or to comply with legal requirements. You may stop using the Service and close your account at any time. Upon termination, your right to use the Service ceases immediately, and we may delete your Content and account data after a reasonable period; you are responsible for exporting any Content you wish to retain before termination.
We may revise these Terms from time to time. For material changes, we will provide reasonable notice through the Service or by email, and the revised Terms will indicate their effective date. Your continued access to or use of the Service after the changes take effect constitutes your acceptance of the revised Terms; if you do not agree, you must stop using the Service.
If any provision of these Terms is held invalid or unenforceable, that provision will be modified and interpreted to accomplish its objective to the greatest extent permitted by law, and in particular any limitation of liability, disclaimer, or exclusion held unenforceable will be reduced or limited to the minimum extent necessary to be enforceable rather than struck in its entirety. The remaining provisions will continue in full force and effect. Provisions that by their nature are intended to continue after these Terms end survive termination, including Sections 8 to 12, 14 to 19, 21, 25, and 26 and any payment obligations that have already accrued. Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of certain liability, so some of the above exclusions and limitations may not apply to you, and you may have additional rights under your local law.
These Terms, and any dispute or claim arising out of or relating to them or the Service, are governed by and construed in accordance with the laws of the Republic of Latvia, without regard to its conflict-of-laws rules. The courts of the Republic of Latvia will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to the personal jurisdiction of those courts. Nothing in this section deprives a consumer of the protection afforded by the mandatory provisions of the law of the consumer's country of residence in the European Union.
Translatize is operated by SIA "MICRON", registered office Aldaru iela 36/38 – 21, Liepāja, LV-3401, Latvia (registration number 42103081578, VAT number LV42103081578). Questions about these Terms may be directed to support@translatize.com, and privacy-related inquiries to privacy@translatize.com.
