These Terms of Service ("Terms") form a binding agreement between you and SIA "MICRON", a limited liability company (sabiedrība ar ierobežotu atbildību) registered in the Republic of Latvia under registration number 42103081578 (registered on 7 November 2017), VAT number LV42103081578, with its registered office at Aldaru iela 36/38 – 21, Liepāja, LV-3401, Latvia, which operates the Translatize translation-management service ("Translatize", "we", "us", or "our"). These Terms govern your access to and use of Translatize, including its website, web application, API, and related features (collectively, the "Service"). By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
"Customer" means the account owner or organization that registers for the Service. "Authorized User" means any person granted access to a Customer's workspace or project. "Content" means the translation keys, values, branches, files, imports, exports, and related data that you upload, generate, or create through the Service. "Machine Translation" means any automated, machine, or AI-generated translation suggestion or output provided through the Service. "Service" means the Translatize web application, API, and all associated features and functionality.
You must provide accurate, current, and complete registration information and keep your account credentials confidential. You are solely responsible for all activity that occurs under your account and for the acts and omissions of your Authorized Users, who must comply with these Terms. You must notify us promptly at support@translatize.com of any actual or suspected unauthorized access to or use of your account.
Translatize offers Free, Starter, Professional, and Agency plans at the prices and with the features and limits shown on the subscription page. Paid plans are billed in advance through our third-party payment processor, Stripe, and renew automatically for successive periods until cancelled. By subscribing, you authorize recurring charges to your selected payment method, and plan changes, upgrades, and downgrades take effect through the billing provider. You may cancel at any time, and access to paid features continues until the end of the then-current paid period; except where required by law, fees are non-refundable and we do not provide credits or refunds for partial periods or unused features. If you are a consumer resident in the European Union or European Economic Area, you have a statutory right to withdraw from a purchase within fourteen (14) days without giving any reason; however, by purchasing a subscription you expressly request that we begin providing the digital Service immediately and acknowledge that you thereby lose your right of withdrawal once performance of the digital service has begun. Your mandatory statutory rights as a consumer remain unaffected.
Each plan includes usage limits, which may include the number of source translation keys, projects, workspaces, branches per project, team members, and API usage. We may enforce these limits by restricting or disabling actions that would exceed them, and we may meter, throttle, or rate-limit usage to protect the Service. Limits are described on the subscription page and may be adjusted from time to time.
You agree not to misuse the Service, including by uploading unlawful, infringing, harmful, or malicious content; attempting to gain unauthorized access to the Service or its systems; probing, scanning, reverse engineering, decompiling, or disassembling the Service; interfering with or overloading our infrastructure; circumventing usage limits or security measures; or exceeding documented API rate limits. We may investigate suspected violations and may suspend or terminate accounts that violate this section, without liability to you.
As between you and Translatize, you retain all rights, title, and interest in and to your Content, including translation keys, values, and branches. You grant Translatize a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, display, and create derivative works of your Content solely as necessary to provide, maintain, secure, and improve the Service and to support Machine Translation and import/export features. You represent and warrant that you own or have all rights and permissions necessary to upload and use your Content and that your Content does not infringe or violate any third-party rights or applicable law.
The Service, including all software, source code, designs, user interfaces, documentation, trademarks, and branding, is and remains the exclusive property of Translatize and its licensors and is protected by intellectual property laws. Except for the limited right to access and use the Service in accordance with these Terms, no rights or licenses are granted to you, whether by implication, estoppel, or otherwise. You may not use Translatize's name, logos, or trademarks without our prior written consent.
Each party may receive confidential information of the other party in connection with the Service. The receiving party agrees to protect such confidential information using at least reasonable care, to use it only as necessary to provide or use the Service, and not to disclose it to third parties except as required by law or to personnel and service providers bound by confidentiality obligations. This section does not apply to information that is or becomes public through no fault of the receiving party, was already known, or is independently developed.
THE SERVICE, INCLUDING ALL CONTENT, MACHINE TRANSLATION OUTPUT, AND IMPORT/EXPORT FUNCTIONALITY, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRANSLATIZE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES OF ACCURACY, RELIABILITY, OR COMPLETENESS. WE DO NOT WARRANT THAT MACHINE OR AI TRANSLATIONS ARE ACCURATE, COMPLETE, OR FIT FOR ANY USE, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, TIMELY, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRANSLATIZE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, TRANSLATIONS, CONTENT, GOODWILL, BUSINESS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, UNDER ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL TRANSLATIZE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS EXCEED THE GREATER OF (A) THE TOTAL FEES YOU ACTUALLY PAID TO TRANSLATIZE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).
You use the Service entirely at your own risk. Translatize is not responsible for any loss or damage of any kind, including lost, corrupted, or deleted data, lost translations, or business losses, arising out of or relating to your use of or inability to use the Service, any errors, inaccuracies, or omissions in Content or Machine Translation output, any unauthorized access to or alteration of your data, or any acts, omissions, or content of third parties. You assume all risks associated with relying on Machine Translation and on the availability, accuracy, and integrity of the Service and your Content.
You are responsible for maintaining your own independent backups of your Content and must not rely on the Service as your sole repository or backup of any data. You are responsible for reviewing, verifying, editing, and testing all translations, including Machine Translation output, for accuracy, suitability, and compliance before using them in any production, public-facing, or business-critical context. Translatize bears no responsibility for any consequences arising from translations or Content that you deploy without such verification and testing.
You agree to defend, indemnify, and hold harmless Translatize and its affiliates, officers, directors, employees, and agents from and against any and all claims, demands, actions, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or related to your Content, your use of the Service, your violation of these Terms, your violation of any applicable law, or your infringement or misappropriation of any third-party right. Translatize reserves the right to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense of such claim.
The Service is provided without any uptime, availability, or performance guarantee and without any service-level commitment. We reserve the right, at any time and without prior notice or liability, to modify, update, suspend, limit, or discontinue the Service or any part, feature, or functionality of it, and to perform maintenance that may result in interruptions. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.
The Service relies on and integrates with third-party services, including Stripe for payment processing, hosting and infrastructure providers, and AI and machine-translation providers. These third-party services are governed by their own terms and policies, are not under Translatize's control, and Translatize is not responsible or liable for their availability, performance, acts, omissions, security, or content. Your use of such third-party services is at your own risk and may be subject to additional terms imposed by those providers.
Translatize will not be liable or deemed in breach for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, fire, flood, war, terrorism, civil unrest, governmental action, labor disputes, epidemics or pandemics, power or internet failures, cyberattacks, or failures or disruptions of third-party services, suppliers, or infrastructure.
These Terms apply for as long as you access or use the Service. We may suspend or terminate your access immediately, with or without notice, for breach of these Terms, suspected fraud or security risk, non-payment, or to comply with legal requirements. You may stop using the Service and close your account at any time. Upon termination, your right to use the Service ceases immediately, and we may delete your Content and account data after a reasonable period; you are responsible for exporting any Content you wish to retain before termination.
We may revise these Terms from time to time. For material changes, we will provide reasonable notice through the Service or by email, and the revised Terms will indicate their effective date. Your continued access to or use of the Service after the changes take effect constitutes your acceptance of the revised Terms; if you do not agree, you must stop using the Service.
If any provision of these Terms is held invalid or unenforceable, that provision will be modified and interpreted to accomplish its objective to the greatest extent permitted by law, and in particular any limitation of liability, disclaimer, or exclusion held unenforceable will be reduced or limited to the minimum extent necessary to be enforceable rather than struck in its entirety. The remaining provisions will continue in full force and effect. Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of certain liability, so some of the above exclusions and limitations may not apply to you, and you may have additional rights under your local law.
These Terms, and any dispute or claim arising out of or relating to them or the Service, are governed by and construed in accordance with the laws of the Republic of Latvia, without regard to its conflict-of-laws rules. The courts of the Republic of Latvia will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to the personal jurisdiction of those courts. Nothing in this section deprives a consumer of the protection afforded by the mandatory provisions of the law of the consumer's country of residence in the European Union.
